Confidentiality, Non-Use and Non-Competition Agreement

Este Termo é celebrado entre PLANO AGENCIA DE PUBLICIDADE E REPRESENTACAO LTDA, CNPJ 33.937.094/0001-89, Balneário Camboriú/SC, Brasil ("PLAN") e a pessoa que o aceita abaixo, em nome próprio e da empresa que representa ("Destinatário").
Parties
This Agreement is between PLANO AGENCIA DE PUBLICIDADE E REPRESENTACAO LTDA, CNPJ 33.937.094/0001-89, Balneário Camboriú/SC, Brasil ("PLAN") and the person who accepts it below, for that person and for the company that the person represents (the "Recipient").
Finalidade
A PLAN vai apresentar ao Destinatário o projeto ESCOTA, um sistema modular de mídia para postes e verticais urbanas. O Destinatário recebe as informações só para avaliar uma possível relação de negócio com a PLAN (a "Finalidade").
Purpose
PLAN will show the ESCOTA project to the Recipient. ESCOTA is a modular media system for poles and urban vertical structures. The Recipient receives the information only to evaluate a possible business relationship with PLAN (the "Purpose").
Informação Confidencial
É Informação Confidencial tudo o que a PLAN mostrar ou disser sobre o projeto, nesta página, em reunião ou em qualquer outro meio, com ou sem marca de confidencial: desenhos, modelos 3D e CAD, arquivos de impressão, medidas, cálculos de engenharia, materiais, processos, modelo de negócio, preços, fornecedores e dados de mercado.
Confidential Information
Confidential Information is all information about the project that PLAN shows or tells, on this page, in a meeting or by other means. This applies if the information has a confidential mark or not. It includes drawings, 3D and CAD models, print files, dimensions, engineering calculations, materials, processes, the business model, prices, suppliers and market data.
Exceções
Não é Informação Confidencial o que (a) já é público sem culpa do Destinatário; (b) o Destinatário prova que já conhecia antes, por registro escrito; (c) o Destinatário desenvolveu sozinho, sem usar a Informação Confidencial; ou (d) o Destinatário recebeu de terceiro que podia divulgá-la. Se a lei ou uma autoridade exigir a divulgação, o Destinatário avisa a PLAN antes e divulga só o necessário.
Exclusions
Confidential Information does not include information that: (a) is public, and the Recipient did not cause this; (b) the Recipient knew before, with written records as proof; (c) the Recipient developed independently, without the Confidential Information; or (d) the Recipient received from a third party that had the right to disclose it. If a law or an authority requires disclosure, the Recipient must tell PLAN first. The Recipient must disclose only the minimum necessary.
Obrigações
O Destinatário (a) usa a Informação Confidencial só para a Finalidade; (b) não a divulga a ninguém, exceto a colaboradores que precisem dela para a Finalidade e que estejam sujeitos a obrigações iguais a estas; (c) protege a informação com, no mínimo, o cuidado que dá às próprias informações confidenciais; (d) não grava, fotografa, captura a tela, baixa nem copia o conteúdo sem autorização escrita da PLAN; e (e) não faz engenharia reversa, não fabrica e não imprime peças a partir da Informação Confidencial.
Obligations
The Recipient must: (a) use the Confidential Information only for the Purpose; (b) not disclose it to other persons, except to personnel who need it for the Purpose and who have obligations equal to these; (c) protect it with at least the same care that the Recipient uses for its own confidential information; (d) not record, photograph, screen-capture, download or copy the content without written approval from PLAN; and (e) not reverse-engineer, manufacture or print parts from the Confidential Information.
Não uso e não concorrência
Durante 24 meses a partir do aceite, o Destinatário não vai, direta ou indiretamente, por si ou por terceiros, usar a Informação Confidencial para desenvolver, fabricar, vender, licenciar ou operar produto, sistema ou serviço igual, semelhante ou derivado do projeto ESCOTA. Esta cláusula limita só o uso da Informação Confidencial. Ela não impede o Destinatário de exercer qualquer atividade lícita que não use a Informação Confidencial.
Non-use and non-competition
For 24 months after acceptance, the Recipient must not, directly or indirectly, alone or through third parties, use the Confidential Information to develop, manufacture, sell, license or operate a product, system or service that is equal to, similar to or derived from the ESCOTA project. This clause limits only the use of the Confidential Information. It does not prevent the Recipient from any lawful business that does not use the Confidential Information.
Não contorno
Durante 24 meses a partir do aceite, o Destinatário não procura, sem a PLAN, os fornecedores, parceiros, clientes ou proprietários de pontos que conheceu pela Informação Confidencial, para fazer negócio relacionado ao projeto.
Non-circumvention
For 24 months after acceptance, the Recipient must not contact, without PLAN, the suppliers, partners, clients or site owners that the Recipient identified through the Confidential Information, to do business related to the project.
Propriedade intelectual
Toda a Informação Confidencial continua sendo da PLAN. Este Termo não dá licença nem direito sobre ela. O Destinatário não pede registro de patente, desenho industrial, modelo de utilidade ou marca baseado na Informação Confidencial. Se pedir, o pedido e os direitos dele passam a ser da PLAN.
Intellectual property
All Confidential Information stays the property of PLAN. This Agreement gives no license or right to it. The Recipient must not apply for a patent, industrial design, utility model or trademark based on the Confidential Information. If the Recipient applies, the application and all rights from it become the property of PLAN.
Sem obrigação de negócio
Este Termo não obriga nenhuma das partes a fazer negócio. A PLAN entrega a informação no estado em que está, sem garantia. Nenhuma peça do projeto foi ensaiada ainda.
No obligation
This Agreement does not oblige a party to do business. PLAN gives the information "as is", with no warranty. No part of the project has had a test yet.
Prazo e devolução
As obrigações de confidencialidade valem por 5 anos a partir do aceite e, para segredo de negócio, enquanto ele for segredo. Se a PLAN pedir, o Destinatário devolve ou destrói toda a Informação Confidencial em até 10 dias e confirma por escrito.
Term and return
The confidentiality obligations continue for 5 years after acceptance. For trade secrets, they continue while the information stays secret. If PLAN asks, the Recipient must return or destroy all Confidential Information in 10 days and confirm this in writing.
Descumprimento
O descumprimento deste Termo causa dano à PLAN que pode não ser reparado só com indenização. A PLAN pode pedir medida judicial para impedir o uso ou a divulgação, além da reparação das perdas e danos.
Breach
A breach of this Agreement causes damage to PLAN that money alone possibly cannot repair. PLAN can ask a court for an order to stop the use or disclosure, and can also claim damages.
Lei, foro e aceite eletrônico
Este Termo segue a lei brasileira, e fica eleito o foro da Comarca de Balneário Camboriú/SC. O aceite eletrônico abaixo tem a mesma validade de uma assinatura e vincula o Destinatário e a empresa que ele representa. Este Termo tem versões em português e em inglês; se houver divergência, prevalece a versão em português.
Law, venue and electronic acceptance
The laws of Brazil apply to this Agreement. The venue is the courts of Balneário Camboriú, Santa Catarina, Brazil. The electronic acceptance below has the same effect as a signature. It binds the Recipient and the company that the Recipient represents. This Agreement has a Portuguese version and an English version. If they are different, the Portuguese version applies.
